Therapy.ai, operated by Therapy.ai, LLC (“Therapy.ai,” “we,” “us,” or “our”), operates a website that lists providers of mental health services. We are passionate about helping people connect with providers. Therapy.ai is not yet a provider of medical, healthcare, psychological, or therapeutic services.

If you need urgent help or are considering self-harm, call your local emergency number (for example, 911 in the United States) or visit the nearest emergency department.

The content on our website is educational and helps you research providers. It is not diagnosis or treatment advice, and no patient-provider or other special relationship is formed with Therapy.ai by using the website.

We also do not provide financial or insurance advice. You are responsible for the costs of any services you choose to obtain. If you plan to use insurance, confirm that the provider accepts your plan.

Who Listed Providers Are
We strive to list as many mental health service providers as we can identify in a given area using publicly available and other data sources. We do not evaluate the providers we list and do not guarantee the accuracy of listing information or other content. Please use our content as a starting point for further research.

Providers do not opt in to be listed. Some providers claim or edit their listings at no charge. Some providers may purchase advertising or promotional services from us, which may include: (1) banner ads; (2) prioritized placement in search or results; (3) access to limited information about website users; and (4) a dedicated direct-dial number on a listing page.

We do not recommend any particular provider. We present information in three main ways: (1) we show providers that may match criteria you specify, and paid providers may appear above non-paid providers and you may see paid banner ads; (2) we may provide your contact details to providers who pay us to receive them, using a rotation or similar method; and (3) we may otherwise present provider information and ads. We do not attempt to match you with the best provider for your needs. Consider multiple providers and decide what fits you best.

We do not own, and are not owned by, any listed provider. Our relationship with providers, if any, is as a supplier of advertising services.

We aim to include a broad set of providers and do not remove providers on our own initiative, including in response to user feedback. If a provider asks to be removed, we remove the listing.

Terms of Use
Please read these Terms carefully before using or obtaining any materials, information, products, or services through this website (the “Website”). The terms “Therapy.ai,” “us,” “we,” or “our” refer to Therapy.ai, LLC, a Wyoming limited liability company. These Terms form a binding agreement (the “Agreement”) between you and us.

Section Disclaimer of Warranties and Section Limitation of Liability limit the sources and amounts of liability you may seek to impose on us. Section Governing Law selects the applicable law. Section Arbitration contains an agreement to arbitrate all claims, under which you and Therapy.ai waive the right to a jury trial and to participate in any class action.

Acceptance of Terms
By accessing, using, obtaining, or submitting any content, data, materials, information, products, or services (our “Services”) through the Website, you agree to be bound by these Terms. If you do not accept all Terms, do not use the Website.

Consumer User Accounts
You may need an account to use some features. You are responsible for safeguarding your password and all activity on your account. Notify us promptly of any unauthorized use. We may close your account at any time, for any or no reason, without prior notice.

Accounts are for personal, non-commercial use. Provide accurate information and do not impersonate others, create accounts for others, provide an email address other than your own, or create multiple accounts. Service Provider User Accounts
Providers who use our premium services must create an account and provide accurate information. You are responsible for your password and all activity on the account. We may close accounts at any time. Provider accounts are solely for claiming and managing a provider profile, responding to ratings and reviews, and uploading or editing Your Content (defined below). Our Content
Content on the Website (the “Website Content”) is not a substitute for medical, financial, or insurance advice; is not a recommendation; and should not be relied upon as the sole basis for any decision, including diagnosis or treatment decisions or eligibility or coverage determinations. The Website is provided as is. Information may be incomplete, inaccurate, out of date, or unsuited to your circumstances. Evaluate any Website Content before using it and always seek advice from a qualified medical professional for health-related questions. We do not recommend or endorse any specific products, services, opinions, or other content that may be available through or mentioned on the Website.

We may provide your information to providers in exchange for payment from those providers. Providers who receive your information may contact you. They are not our agents. We do not promise to connect you with any provider and we make no representation about the suitability of any provider. You are responsible for any fees if you obtain services from a provider. By using the Website, you acknowledge and agree to these disclosures.

Accuracy of Information
Information on the Website, including our articles, provider listings, and reviews or ratings, may not be accurate or complete. Reviews and ratings are third-party information intended only as a starting point and are not endorsements or guarantees of quality, safety, or outcomes. Do not rely solely on reviews or ratings when deciding whether to contact or engage a provider.

Prohibited Activity
You agree not to use the Website for illegal, unauthorized, harmful, misleading, fraudulent, or malicious purposes; to post unlawful, defamatory, obscene, excessively violent, harassing, or sexually explicit content; or to transmit malware or rights-infringing material. You agree not to create or solicit fake reviews or ratings or compensate others to write or remove reviews or ratings. You agree not to use the Website in a manner that degrades performance for others or imposes an unreasonable load on our infrastructure; to attempt to damage, deny service to, hack, crack, or interfere with the Website or its security; to interfere with or disrupt networks connected to the Website or disobey their rules; to upload or transmit content you lack rights to share; to modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Website; or to scrape or data-mine or create a database of Website content without our prior written consent. Public search engines may crawl only for public indexing, not caching or archiving, and this permission may be revoked.

Disclaimer of Warranties
The Website and services are provided as is and as available. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Maximum aggregate liability is $150.00 for all claims during your lifetime, regardless of whether claims relate to each other. Any claim must be filed within one year after it arises or it is forever barred. Where local law does not allow certain exclusions or limitations, they apply only to the extent permitted.

You agree to indemnify, defend, and hold harmless Therapy.ai and its officers, directors, employees, agents, affiliates, successors, and assigns from any claims, losses, damages, costs, or liabilities arising out of or relating to Your Content, your use or misuse of the Website, your breach of these Terms, or your violation of third-party rights.

Copyright and Intellectual Property
Website content, including text, graphics, logos, images, software, and compilations, is owned by us or our licensors and protected by law. If you submit information not federally trademarked or copyrighted, you grant us and our assigns a worldwide, fully paid, royalty-free, exclusive license to use it, including to create derivative works. Our trademarks, logos, trade dress, and branding may not be used without our prior written permission. We may disable or terminate accounts of repeat infringers.

Privacy
Your use of the Website is subject to our Privacy Policy, which explains how we collect, use, and share information, including advertising, analytics, and lead-generation practices. By using the Website, you consent to those practices.

Governing Law
These Terms are governed by the laws of Wyoming, United States, without regard to conflict-of-laws principles.

Arbitration
Any controversy or claim between you and Therapy.ai or its officers, directors, employees, agents, affiliates, successors, or assigns arising out of or relating to these Terms, your use of the Website, or communications or transactions with providers shall be resolved by binding arbitration before a single arbitrator under the JAMS Streamlined Arbitration Rules. The arbitration will be held in Cheyenne, Wyoming, or by remote video at the arbitrator’s discretion. Judgment on the award may be entered in any court of competent jurisdiction. We may seek injunctive or equitable relief to protect intellectual property in any competent court.

Before filing, the party seeking arbitration must send written notice describing the dispute, prior resolution efforts, supporting documents, and proposed resolution. The parties will try to resolve the dispute within 45 days after receipt of the notice. After that window, either party may commence arbitration.

Arbitration will be conducted only on an individual basis; no class, mass, consolidated, or representative actions are permitted. If a court or arbitrator finds this class-action waiver unenforceable as to a particular claim, then the arbitration clause does not apply to that claim and it must be brought in court.

International Users
The services are controlled and operated from the United States. We make no representation that the services are lawful or available in other jurisdictions. If you access the services from outside the United States, you do so at your own risk and are responsible for compliance with local laws and United States export controls.

Miscellaneous
These Terms do not create agency, partnership, or joint venture. You may not assign these Terms; we may assign without notice. We may modify these Terms at any time by posting an updated version; your continued use after posting constitutes acceptance. If you object, discontinue use immediately. Our failure to act on a breach is not a waiver. If any term is unenforceable, the rest remain in effect. These Terms, together with any policies referenced, are the entire agreement regarding your use of the Website.
